The Waterstons Board currently consists of the co-founders as Chairpersons, one Non-Executive Director, one Advisor and four Executive Directors.  

Scope and Purpose

As a result of continued international growth Waterstons are looking for a unique individual to join their Board as a Non-Executive Director: providing a valued creative contribution to the board by offering independent oversight, robust scrutiny and constructive challenge to the Board. 

They are seeking an individual who shares their values, inspires and motivates and has a passion for growing customer intimate businesses.

The new appointee will 

  • provide independent, objective judgement and insight on issues of global growth, strategy, performance, key appointments and standards of conduct 
  • ensure actions and decisions focus on the maximum benefit for clients and Waterstons’ quality and customer service standards are met
  • constructively and impartially challenge and help in developing proposals on global business strategy
  • provide scrutiny of management’s performance in meeting agreed goals and objectives and the monitoring of performance reports
  • satisfy themselves on the integrity of financial information and that controls and risk management systems are robust and defensible
  • be an active member of the remuneration committee and attend the annual remuneration committee meeting and additional meetings as appropriate
  • attend the monthly Board meeting
  • provide balance  to the experience of executive directors with fresh perspective from their external experiences
  • endorse and provide recommendations for succession planning for the CEO (as nominated in the succession plan)
  • provide constructive performance evaluation of the effectiveness of the Board members and Non-Executive Chairs within the 360 feedback criteria. 

Key Experience

Waterstons are  looking for an experienced Non-Executive with a significant and successful proven track record at Board level for successfully managing  and growing global businesses.  

Ideally, with a professional services background, candidates will have good knowledge of corporate governance, commercial agreements and associated legal contracts with an ability to exercise good judgement and assimilate information and complex issues quickly.

  • Candidates need excellent communication skills with the ability to contribute robustly to discussions to reach consensual decisions and must be comfortable conveying ideas clearly and concisely to Board members.
  • Candidates must have an appreciation of robust global governance arrangements and help shape strategy for profitable growth.
